C&D INTL GROUP Schedules 27 May 2026 AGM, Proposes HK$0.90 Final Dividend and Board Re-elections

C&D International Investment Group Limited will hold its annual general meeting on 27 May 2026 at 11:00 a.m. at Office No. 3517, 35/F, Wu Chung House, 213 Queen’s Road East, Wanchai, Hong Kong.

Key proposals to be tabled:

1. Financial Statements • Shareholders will be asked to receive and approve the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and auditors’ reports.

2. Final Dividend • The board recommends a final dividend of HK$0.90 per share, payable in cash or under a scrip dividend scheme.

3. Board Composition • Re-election of seven directors: executive director Mr. Xu Yixuan; non-executive directors Ms. Ye Yanliu and Mr. Cheng Dongfang; and independent non-executive directors Mr. Wong Chi Wai, Mr. Wong Tat Yan Paul, and Mr. Cheng Dongfang. • Shareholders will also vote to authorise the board to determine directors’ remuneration.

4. Auditor • Proposal to re-appoint Grant Thornton Hong Kong Limited as the Company’s auditor for the ensuing year, with the board authorised to fix its remuneration.

5. Share Issuance and Buy-back Mandates • General mandate permitting the board to allot and issue new shares representing up to 20% of the Company’s issued share capital as at the date of the resolution. • Authority to repurchase shares up to 10% of the issued share capital. • An additional mandate to extend the share issuance limit by the number of shares repurchased under the buy-back mandate.

Shareholders of record who cannot attend in person may appoint proxies; completed proxy forms must be lodged with Tricor Investor Services Limited by 11:00 a.m. on 25 May 2026 (Hong Kong time).
