RIMBACO Reshapes Governance: New Chair/CEO, Board Refresh, and Proposed Re-branding to “SFQ Global”

Rimbaco Group Global Limited (“Rimbaco”) announced a comprehensive overhaul of its leadership structure effective 15 July 2026, including senior appointments, multiple resignations, committee re-constitutions, and a proposed change of corporate name.

Key executive appointments • Ms. Iu Ching, 33, daughter of controlling shareholder Mr. Yao Xiongjie, becomes Executive Director, Chairperson of the Board, Chief Executive Officer, and Chair of the Nomination Committee. Her three-year service agreement carries an annual director’s fee of HK$1.80 million, with eligibility for a discretionary bonus tied to group performance. • Dr. He Yu, 40, joins as Executive Director and Authorised Representative under Listing Rule 3.05. He will also sit on the Remuneration Committee. Dr. He’s three-year term provides a director’s fee of HK$0.78 million per year and discretionary bonus potential. • Mr. Xiong Zeke, 51, is appointed Independent Non-executive Director (INED), Chair of the Remuneration Committee, and member of both the Audit and Nomination Committees. His annual fee is HK$0.15 million. • Ms. Zhou Yi, 56, is appointed INED and joins the Audit and Nomination Committees, also with a HK$0.15 million annual fee.

Director resignations Eight directors resigned effective 15 July 2026, including former Chairperson Mr. Low Seah Sun, former CEO Mr. Low Wui Linn, and six other board members. All confirmed no disagreement with the Board and no matters needing shareholder attention.

Board committee composition (from 15 July 2026) • Audit Committee: Mr. Wong Chi Wai (Chair), Mr. Xiong, Ms. Zhou. • Nomination Committee: Ms. Iu (Chair), Mr. Xiong, Ms. Zhou. • Remuneration Committee: Mr. Xiong (Chair), Dr. He, Mr. Wong Chi Wai.

Corporate governance note Ms. Iu now holds both Chairperson and CEO roles, diverging from Code Provision C.2.1 of the HKEX Corporate Governance Code. The Board believes her industry experience and majority-independent board (three INEDs out of five members) provide adequate checks and balances and will keep the dual role under review.

Authorised representative change Dr. He replaces Mr. Low Seah Sun as Authorised Representative under Listing Rule 3.05 with effect from 15 July 2026.

Proposed change of company name The Board proposes renaming the company from “Rimbaco Group Global Limited” to “SFQ Global Limited” with the dual foreign name “賽孚迅國際有限公司”. Implementation is conditional on: 1) Shareholder approval via special resolution at the extraordinary general meeting (EGM) on 4 August 2026, and 2) Issuance of a certificate of incorporation on change of name by the Cayman Islands Registrar.

Management states that the re-branding will support expansion into new industry sectors while retaining existing core operations and aims to refresh the corporate image. Existing share certificates will remain valid; new certificates will bear the new name once effective.

Closure of register of members To determine entitlement to attend and vote at the 4 August 2026 EGM, the register will be closed from 30 July 2026 to 4 August 2026 (both days inclusive). Share transfer documents must be lodged with Computershare Hong Kong Investor Services Limited by 4:30 p.m. on 29 July 2026.

As of the announcement date, Rimbaco’s board comprises two executive directors (Ms. Iu, Dr. He) and three independent non-executive directors (Mr. Wong Chi Wai, Mr. Xiong Zeke, Ms. Zhou Yi).
