Winto Group (Holdings) Limited (08238) Announces Key Board and Committee Changes

Winto Group (Holdings) Limited (08238) announced that, effective 4 March 2026, it has implemented a series of board-level and committee-related appointments and resignations:

Following the resignation of the former company secretary and authorised representative, a new executive director, Mr. Kam Chun Ying Francis, will assume both roles and has been granted a service contract of one year. Mr. Kam has over three decades of corporate and finance management experience, including prior positions in listed companies. He will receive a salary of 0.36 million HKD per annum plus discretionary bonuses and benefits.

In addition, the former independent non-executive director, Mr. Ma, has resigned from his post and committee memberships to focus on his personal career. Meanwhile, Ms. Wong has stepped down from her chairlady role on the relevant committees, remaining as a member of each committee.

Furthermore, Mr. Liu Weishi has joined as an independent non-executive director and will serve as chairman of the same committees. Under his contract, he will receive a salary of 0.09 million HKD per annum plus discretionary bonuses and benefits. Mr. Liu brings significant audit and accounting expertise and meets the independence requirements outlined in applicable listing rules.

The board expressed appreciation for the departing members’ contributions and formally welcomed Mr. Kam and Mr. Liu to their posts.
