ENN Natural Gas Co., Ltd., Xinneng (Hong Kong) Energy Investment Limited, and ENN Energy (2688) Issue Takeovers Code Update

ENN Natural Gas Co., Ltd. (ENN-NG), Xinneng (Hong Kong) Energy Investment Limited (the Offeror), and ENN Energy Holdings Limited (2688) have issued an update pursuant to Rule 3.8 of the Hong Kong Code on Takeovers and Mergers. Reference is made to the joint announcement dated 26 March 2025 concerning the Offeror’s pre-conditional proposal to privatize ENN Energy through a scheme of arrangement under Cayman Islands law, as well as subsequent related announcements.

On 4 December 2025, 2,000 ENN Share Options under the ENN 2012 Share Option Scheme were exercised, leading to the issuance of 2,000 new ENN Shares. Following this exercise, ENN Energy has 1,131,825,388 ENN Shares in issue. Additionally, there remain 4,762,413 ENN Share Options outstanding, along with 259,000 ENN Share Awards.

During the offer period, associates of ENN-NG, the Offeror, and ENN Energy—including those holding 5% or more of relevant securities—are reminded of their obligations under Rule 22 of the Takeovers Code to disclose any dealings in ENN Energy or ENN-NG relevant securities. Stockbrokers, banks, and other intermediaries who deal in relevant securities on behalf of clients are expected to inform them of these disclosure obligations.

Shareholders and potential investors are advised that the proposal remains subject to the fulfillment or waiver (where applicable) of certain pre-conditions and conditions. The scheme may or may not take effect, and caution is advised when dealing in the securities of ENN-NG and ENN Energy.
