SMIC (00981.HK, 688981.SH) Announces Acquisition of 49% SMNC Equity Through RMB Share Issuance

Semiconductor Manufacturing International Corporation (SMIC) has disclosed plans to acquire the remaining 49% equity interest in Semiconductor Manufacturing North China (Beijing) Corporation (SMNC). The transaction amount is set at approximately RMB40.60091 billion, determined with reference to the appraised value of SMNC’s total shareholders’ equity at around RMB82.859 billion. SMIC intends to settle this consideration by issuing roughly 547 million new RMB shares at RMB74.20 per share.

Upon completion of the acquisition, SMNC is expected to become a wholly owned subsidiary of SMIC. The company stated that this move may enhance decision-making efficiency, integrate key resources, and strengthen business and operational synergies. An extraordinary general meeting has been scheduled for 12 February 2026 to review the deal and other related matters.
