SOFTMEDX-NEW Records HK$78.7 Million in Share Transfers, Representing 11.91% of Capital

According to the latest information from the Hong Kong Stock Exchange, a significant share transfer occurred on June 30 involving SOFTMEDX-NEW (00648). The total value of the transferred shares amounted to HK$78.7086 million, representing 11.91% of the company's issued share capital.

Specifically, a company shareholder transferred 2.7119 million shares to Citibank (Hong Kong) and transferred 5.731 million shares out of Bright Smart Securities. SOFTMEDX-NEW had previously announced that its controlling shareholder, Multi Omniverse Group Limited, intended to place up to 445 million company shares.

On May 15, 2024, the company was notified by the selling shareholder that the entire block of 445 million shares, equivalent to 20.8% of the company's issued share capital as of the announcement date, had been placed by the placing agent to no fewer than six placees at a placing price of HK$0.11 per share.

To the best of the directors' knowledge, information, and belief, following reasonable enquiries, each placee and its ultimate beneficial owner (if any) are third parties independent of the company and its connected persons, with no connections or concert party relationships with the company or any of its connected persons. Furthermore, following the completion of the placement, no placee became a substantial shareholder of the company.

Upon completion of the placement, the selling shareholder's interest in the company decreased from 51.0% to 30.3%, though it remains the company's controlling shareholder.
