SERES updates board composition and committee leadership across five governance bodies

Seres Group Co., Ltd. (SERES) released a detailed roster of its governing bodies dated 25 June 2026, confirming a 13-member Board with clearly assigned roles across five specialised committees.

The Board now consists of four executive directors—Zhang Xinghai, Yin Xianzhi, Kang Bo and Liu Ling; four non-executive directors—Zhang Kebang, Yang Yanding, Zhou Changling and Gao Zhenghao; and five independent non-executive directors—Li Kaiguo, Jing Xufeng, Ngai Ming Tak, Li Ming and Zhang Guolin. Independent members therefore account for 38.46 % of the Board, exceeding the one-third threshold typically required under Hong Kong Listing Rules for corporate governance.

Committee leadership is distributed as follows: • Strategy Committee chaired by executive director Zhang Xinghai. • Remuneration and Appraisal Committee chaired by executive director Yin Xianzhi. • Audit Committee chaired by independent non-executive director Li Kaiguo. • ESG Committee chaired by independent non-executive director Ngai Ming Tak. • Nomination Committee chaired by independent non-executive director Li Ming.

Multiple directors hold cross-committee responsibilities. Executive director Liu Ling sits on three committees, while independent directors Li Kaiguo and Jing Xufeng each serve on three bodies, reinforcing independent oversight within the group’s governance framework.

The announcement underscores SERES’s adherence to a balanced board structure, combining executive insight with independent supervision across audit, remuneration, nomination, strategy and ESG functions.
