HBM Holdings Limited (HBM) announced a board reshuffle effective 27 August 2026, marked by the resignation of Executive Director and authorised representative Dr. Yiping Rong and the simultaneous appointment of two new executive directors.
Dr. Rong tendered his resignation for personal reasons and confirmed no disagreement with the board or matters requiring shareholder attention. His departure automatically vacated his role as authorised representative under Hong Kong Listing Rule 3.05.
To fill the leadership gap, the board—after a nomination committee review—appointed Chief Financial Officer Mr. Youchen Chen (age 37) and Senior Vice President & Global Head of Legal Dr. Ian Yi Liu (age 55) as executive directors effective the same date. Mr. Chen will also assume the authorised representative position vacated by Dr. Rong.
Key details of the newly appointed executives are as follows:
1. Mr. Youchen Chen • Joined HBM in October 2023; became CFO in April 2025, overseeing global financial strategy, investor relations, APAC corporate development and strategic investments. • Brings over 15 years’ experience in finance, investment banking and audit, including roles at Credit Suisse Securities (China) and Yidu Tech Inc. • Holds 0.07 million shares, 0.81 million restricted share units (RSUs) and 2.78 million share options in HBM. • Monthly remuneration: HKD 0.18 million, plus performance-based discretionary bonus; no separate director’s fee.
2. Dr. Ian Yi Liu • Joined HBM in March 2025; currently Senior VP & Global Head of Legal and joint company secretary, responsible for global legal affairs, governance and risk management. • More than 20 years’ legal and pharmaceutical industry experience, including senior roles at Simcere Pharmaceutical Group and Fosun Pharmaceutical Group subsidiaries. • Holds 0.70 million RSUs and 1.44 million share options in HBM. • Monthly remuneration: USD 0.03 million, plus performance-based discretionary bonus; no separate director’s fee.
Both executives have executed three-year service contracts, terminable with three months’ notice, and will stand for re-election at the next annual general meeting in accordance with HBM’s articles of association.
The board extended gratitude to Dr. Rong for his contributions and welcomed Mr. Chen and Dr. Liu to their expanded leadership roles.
