CK Asset Sets 27 Apr 2026 Hybrid EGM to Approve Disposal under Share Purchase Deal

CK Asset Holdings Limited will convene an Extraordinary General Meeting (EGM) at 12:30 p.m. on Monday, 27 April 2026. The meeting will be held in hybrid format at Harbour Grand Kowloon, Hong Kong, with simultaneous online participation via Lumi’s platform.

Key agenda • Single ordinary resolution: seek shareholder approval for a connected transaction contemplated by the Share Purchase Agreement dated 25 February 2026 among Eagle Insight International Ltd, CKI Number 1 Ltd, Devin International Ltd, Engie UK 2026 Ltd and Engie Group Participations SA. The resolution covers disposal of CKA Sub’s Sale Shares and CKA Sub’s Shareholder Debt Instruments and grants directors full authority to execute related documents and actions.

Timetable & procedural details • Record date: Monday, 27 April 2026. • Share register closure: Wednesday, 22 April 2026 to Monday, 27 April 2026 (both days inclusive). • Proxy submission deadline: no later than 48 hours before the EGM. Proxies may be lodged by email, post or in person. • Bad-weather contingency: if a tropical cyclone warning signal No. 8 or above, a black rainstorm signal or “extreme conditions” is in force at 9:00 a.m. on 27 April 2026, the EGM will automatically be postponed to 12:30 p.m. on Tuesday, 28 April 2026 at the same venue and online platform.

Participation mechanics Shareholders may attend in person or vote and ask questions via the online platform. Multiple proxies are permitted, and completed proxy forms do not preclude shareholders from attending and voting directly.

Governance All resolutions will be decided by poll in accordance with Article 81 of the company’s Amended and Restated Articles of Association. No refreshments will be served at the venue.

The notice was issued by Company Secretary Eirene Yeung on 8 April 2026 and tabled with copies of the Share Purchase Agreement and the related circular for shareholder inspection.
