Guoxia Technology Co., Ltd. (Guoxia Technology, 02655) has convened an Extraordinary General Meeting (EGM) for 12 October 2026 to seek shareholder approval on two principal items: the introduction of a long-term Share Award Scheme and a series of amendments to its Articles of Association.
Share Award Scheme • Scope and Size: The proposed scheme permits the trustee to acquire up to 19.73 million existing H-shares—equivalent to 5.00 % of Guoxia Technology’s current issued share capital—via on-market purchases. No new shares will be issued. • Duration: 10-year term commencing on the adoption date, with early termination possible by Board resolution. • Beneficiaries: Employees, directors, executives of subsidiaries, certain related-entity personnel and long-term service providers. Independent contractors, consultants and key suppliers may be included, provided their services are material and ongoing. • Governance: All grants to directors, the chief executive or substantial shareholders (and their associates) require prior approval by the independent non-executive directors. Connected-party grants will comply with Chapter 14A of the Hong Kong Listing Rules. • Vesting & Claw-back: Vesting schedules and performance targets will be set case-by-case. Unvested awards lapse automatically if the participant leaves under specified disqualifying events. • Funding: Awards will be satisfied solely with shares repurchased on the secondary market using contributed funds from the Company, subsidiaries, significant shareholders or other designated parties. • Voting Rights: Shares held in the trust carry no voting rights before vesting.
Articles of Association – Key Amendments • Clarifies the Chairman of the Board as the Company’s legal representative; updates procedures for resignation and replacement. • Revises par value description to state nominal value of RMB0.20 per share. • Refines thresholds for external guarantees; introduces an exemption when guaranteeing wholly-owned or proportionally guaranteed controlling subsidiaries. • Fixes board size at nine directors, with independent non-executive directors comprising at least one-third of the Board and at least one having accounting or financial expertise. • Specifies one general manager and several deputy general managers. • Adjusts the proportion of employee representatives on the Board of Supervisors to one-third. • Updates procedural clauses on document language authority and effective date of revised Articles.
EGM Logistics • Date & Venue: 1:30 p.m., 12 October 2026, at the Company’s headquarters, No.9 Huicheng Road, Huishan District, Wuxi. • Record Date: Shareholders must be on the register by 6 October 2026; the register will be closed from 7 to 12 October 2026 (both days inclusive). • Voting: All resolutions will be decided by poll; no shareholders are required to abstain from voting based on current ownership disclosures.
Shareholders are urged to submit proxy forms to Computershare Hong Kong Investor Services by 11 October 2026, 1:30 p.m. (24 hours before the meeting), should they be unable to attend in person.
