Bulletin Express10-29

On 29 October 2026, SF Holding Co., Ltd. disclosed that Ms. Gan Ling resigned, effective immediately, from four positions—Board Secretary, Deputy General Manager, Joint Company Secretary and Authorised Representative—citing personal reasons. The Board confirmed there is no disagreement with Ms. Gan and nothing requiring shareholder attention.

Chairman Mr. Wang Wei will serve as acting Board Secretary until a formal successor is appointed, with the company committing to complete the appointment “as soon as practicable” in line with listing rules.

Following the departure, Ms. So Ka Man, previously joint company secretary, becomes the sole Company Secretary and is now an Authorised Representative under Rule 3.05 of the Hong Kong Listing Rules. She will serve in that capacity alongside existing Authorised Representative Mr. Ho Chit, ensuring SF Holding continues to meet Hong Kong compliance requirements.

Ms. Gan joined the Group in 2015 and played key roles in both A-share and H-share IPOs, as well as broader corporate governance and financing initiatives. The Board expressed its appreciation for her tenure and contributions.

As of the announcement date, the Board consists of three executive directors—Mr. Wang Wei (Chairman), Mr. Ho Chit, and Mr. Xu Bensong—and three independent non-executive directors—Mr. Chan Charles Sheung Wai, Mr. Lee Carmelo Ka Sze, and Dr. Ding Yi.
