KB Laminates calls AGM on 26 May 2026; proposes HK 0.53 dividend, board re-elections and new share mandates

Kingboard Laminates Holdings Limited (KB Laminates) has issued a circular convening its annual general meeting (AGM) for 26 May 2026 at 25/F, Delta House, Hong Kong.

Key agenda items:

1. Dividend proposal • Final dividend: HK 0.25 per share. • Special final dividend: HK 0.28 per share. Share transfer books will close from 15 to 18 June 2026; the last day to lodge transfers for dividend entitlement is 12 June 2026 at 4:00 p.m.

2. Board composition and elections • Executive directors up for re-election: Managing Director Cheung Kwok Keung and Cheung Kwok Ping. • Non-executive director up for re-election: Lo Ka Leong. • Independent non-executive director (INED) up for re-election: Yung Hoi Yan (appointed 31 December 2025). • Separate resolution for continued appointment of INED Zhang Lu Fu, who has served since January 2015 (over nine years). The Nomination Committee confirms the independence of both INEDs.

3. Share mandates • Issue Mandate: authority to allot, issue or transfer treasury shares up to 20% of issued share capital, equal to roughly 627.06 million shares based on the 3.14 billion shares outstanding as of 16 April 2026. • Repurchase Mandate: authority to buy back up to 10% of issued share capital, or about 313.53 million shares. • Extension Mandate: authorises the board to increase the Issue Mandate by the number of shares repurchased.

4. Shareholder logistics • Record date for AGM attendance: 19 May 2026 (books closed 20–26 May). • Proxy forms must be lodged with Tricor Investor Services by 24 May 2026, 11:30 a.m.

As of the latest practicable date, controlling shareholder Kingboard Holdings and concert parties held approximately 68.35% of KB Laminates’ 3.14 billion issued shares.
