China International Capital Corporation Limited (the Company) has announced that the appointment of Ms. Liang Dongqing as Secretary to the Board took effect on January 28, 2026. She has also officially assumed the position of Joint Company Secretary after the Board’s consideration and approval, along with the waiver granted by the Hong Kong Stock Exchange under Rules 3.28 and 8.17. Mr. Zhou Jiaxing remains the other Joint Company Secretary to assist Ms. Liang in discharging her duties.
According to the announcement, Ms. Liang has nearly two decades of operational and managerial experience within the Group and holds an extensive background relevant to the Company’s core business. Although Ms. Liang did not initially fulfill the qualifications under the Hong Kong Listing Rules, the Hong Kong Stock Exchange granted a three-year waiver on February 2, 2026, subject to conditions such as Mr. Zhou’s continued assistance and the absence of any material breach of the Hong Kong Listing Rules by the Company. Before the end of the waiver period, the Company is required to demonstrate that Ms. Liang is capable of independently performing the responsibilities of a company secretary.
Mr. Zhou continues to serve as the Company’s Chief Compliance Officer, a role he has held since December 2021, and leads the Company’s Legal and Compliance Department. The announcement also highlights Mr. Zhou’s extensive experience in legal affairs and his familiarity with Hong Kong regulatory requirements. The Board’s resolution confirms both Ms. Liang and Mr. Zhou as Joint Company Secretaries from the date of the waiver, effective February 3, 2026.
