China Railway Signal & Communication (3969) Issues Notice of 2025 First Extraordinary General Meeting

China Railway Signal & Communication Corporation Limited (3969) has scheduled its 2025 first extraordinary general meeting (EGM) for Friday, 21 November 2025 at 10:00 a.m., to be convened at Building A, CRSC Building, 1 Compound, Automobile Museum South Road, Fengtai District, Beijing. Shareholders whose names appear on the company’s H Share register by the close of business on Monday, 17 November 2025 are eligible to attend.

Key matters to be deliberated include proposals to abolish the Supervisory Committee and to modify certain fundraising initiatives on the Sci-Tech Innovation Board, along with reevaluations regarding the use of proceeds raised from an H Share offering and amendments to the Management Rules for A-Share Related Party Transactions. The meeting will also address financial services arrangements, including a framework agreement involving CRSC Group Finance Limited and related parties, as well as the proposed estimation of ordinary related party transactions from 2026 to 2028.

In addition to ordinary resolutions, special resolutions will be tabled to amend the Articles of Association and update procedural rules for both general meetings and board of directors’ sessions. The EGM is expected to last no more than half a day, and attendees will bear their own travel and accommodation costs. Proxies are allowed, and all proxy-related documents must be submitted to the company’s H Share registrar, Computershare Hong Kong Investor Services Limited, by 10:00 a.m. on Thursday, 20 November 2025.
