Hong Kong’s Takeovers Executive has received a Rule 22 disclosure showing that Morgan Stanley & Co. International plc, classified as a Class (5) associate of the potential offeror for Bright Smart Securities & Commodities Group Limited (stock code 01428), executed a series of derivative transactions linked to Bright Smart shares on 12 March 2026.

According to the filing, all trades were undertaken on Morgan Stanley’s own account under “unsolicited client facilitation”. The investment bank sold 2,000 share-linked derivative contracts maturing on 30 October 2026 at a reference price of HK$6.9140, generating proceeds of roughly HK$0.01 million.

On the buy side, Morgan Stanley accumulated a total of 518,000 share-linked derivatives across three maturities: • 102,000 contracts maturing 30 September 2027 at HK$6.9425 each (about HK$0.71 million). • 204,000 contracts maturing 30 November 2027 at HK$6.9739 each (about HK$1.42 million). • 212,000 contracts maturing 18 May 2026 at HK$6.9678 each (about HK$1.48 million).

All positions were fully closed on the trade date, leaving Morgan Stanley with a resultant balance of zero related derivatives. The aggregate gross consideration across the four transactions totalled approximately HK$3.64 million.

The disclosure is tied to a “possible mandatory general offer” for Bright Smart; however, the filing contains no further details on the prospective offer. Market participants will monitor subsequent announcements from the Offeror, Bright Smart and the Takeovers Executive for additional information and any formal offer terms.
