RUSAL Schedules 1 June 2026 Extraordinary Meeting, Proposes No Q1 2026 Dividend

United Company RUSAL, International Public Joint-Stock Company (RUSAL) will convene an Extraordinary General Meeting (EGM) on 1 June 2026 at 10:00 a.m. Kaliningrad time (4:00 p.m. Hong Kong time) at the ibis Kaliningrad Center hotel, Moskovsky prospect 52, Kaliningrad, Russian Federation.

The agenda contains a single ordinary resolution: “Not to declare and not to pay dividends based on the performance during the first quarter of 2026.” Shareholders will vote “For,” “Against” or “Abstain” on this proposal.

Proxy arrangements: • Shareholders may appoint the Chairman of the Meeting or another individual as proxy. • Completed proxy forms, together with any relevant authority, must reach the Company’s Hong Kong branch share registrar, Hongkong Managers and Secretaries Limited (Units 1607-8, 16/F, Citicorp Centre, 18 Whitfield Road, Causeway Bay, Hong Kong; email: proxy@hkmanagers.com) no later than 10:00 a.m. Kaliningrad time (4:00 p.m. Hong Kong time) on 30 May 2026—48 hours before the meeting. • Returning a proxy form does not preclude shareholders from attending and voting in person, in which case the proxy appointment is automatically revoked.

Shareholders of record are entitled to attend the EGM and vote in person or by proxy. Votes marked “Abstain” will not be counted in the calculation of the proportion of votes “For” or “Against” the resolution.
