CHINA ALUMCAN Independent Shareholders Unanimously Approve 2026 Master Supply Agreement and Revised Annual Caps

Bulletin Express08-11

China Aluminum Cans Holdings Limited (CHINA ALUMCAN) announced that all resolutions relating to the 2026 Master Supply Agreement were passed at its Extraordinary General Meeting (EGM) held on 11 August 2026.

The sole ordinary resolution covered three key items: 1) approval, ratification and confirmation of the 2026 Master Supply Agreement; 2) endorsement of the revised annual caps for transactions under the agreement; and 3) authorization for the board—or its delegates—to execute and implement all related documents and matters.

Voting statistics underline full support from eligible investors. Of the 283.50 million shares (30.03% of issued capital) entitled to vote after required exclusions, 30.10 million votes were cast, all in favour. No votes were recorded against the resolution, translating into a 100.00% approval rate. Consequently, the resolution was carried as an ordinary resolution.

Per Hong Kong Listing Rules, Chairman and Executive Director Mr. Lin Wan Tsang and his associates, holding 660.55 million shares (69.97% of issued shares), abstained from voting. All directors were present at the meeting, and Tricor Investor Services Limited acted as scrutineer for the poll.

The company’s total issued share capital stood at 944.05 million shares as of the EGM date. With shareholder approval secured, CHINA ALUMCAN is positioned to proceed with the implementation of the 2026 Master Supply Agreement under the newly sanctioned annual caps.
