Arrail Faces Further Delays in FY2025/26 Results, AGM Postponed; Trading Suspension Continues

Bulletin Express09-30

Arrail Group Limited on 30 September 2026 announced an additional deferment in publishing its FY2025 interim and FY2025/26 annual results, citing the auditor HLB’s need for more time to complete outstanding review and audit procedures.

The company had previously targeted end-September 2026 for releasing the statements, but now foresees further postponement. Consequently, dispatch of both the FY2025 interim report and the FY2025/26 annual report will also be delayed.

Under Listing Rule 13.46(2)(b) and Article 62 of Arrail’s memorandum and articles of association, the annual general meeting (AGM) must occur within six months after the 31 March financial year-end—no later than 30 September 2026. Owing to the outstanding accounts, the 2026 AGM will be held after this statutory deadline.

Trading in Arrail shares has been suspended since 1 December 2025 at 9:00 a.m. and will remain halted until further notice. The board states it will “use its best endeavours” to finalise the results, dispatch the reports, and reconvene the AGM as soon as practicable. Additional announcements and quarterly updates will be issued in line with Hong Kong Listing Rule 13.24A.

Shareholders and potential investors are advised to exercise caution when dealing in Arrail securities.
