Country Garden (02007) Announces Share Capital Increase Following Convertible Bond Conversions

Country Garden Holdings Company Limited (Stock code: 02007) published a Next Day Disclosure Return on 29 January 2026, disclosing changes in the number of its issued ordinary shares. The total number of issued shares increased from 38,538,275,550 to 39,185,166,079 as a result of conversions of two sets of zero coupon mandatory convertible bonds.

According to the announcement, 641,299,320 new shares originated from the conversion of the zero coupon mandatory convertible bonds (MCB (A)) with a maturity of 78 months from 30 June 2025, representing approximately 1.6641% of the company’s pre-conversion issued share capital. The issue price per share was reported at HKD2.6.

Additionally, 5,591,209 new shares resulted from the conversion of another zero coupon mandatory convertible bond (MCB (B)) maturing in 114 months from 30 June 2025. These new shares constituted 0.0145% of the company’s pre-conversion issued share capital, with the issue price per share at HKD10.

Following these conversions, the total number of issued shares stood at 39,185,166,079 with no treasury shares reported on 29 January 2026. The announcement further confirms that all applicable regulatory requirements have been met for these share issuances.
