Zhongtian Construction (Hunan) Group Limited has announced a further delay in sending its shareholder circular related to the renewal of two sets of continuing connected-transactions—the Construction Services Framework Agreements and the Procurement Framework Agreements.
The circular was originally scheduled for dispatch on or before 8 May 2026, but the company now targets a new deadline of no later than 29 May 2026. Management cited the need for additional time to prepare and finalise information to be included in the document.
The postponed circular will contain: 1. Full terms of the renewed Construction Services and Procurement Framework Agreements, along with their proposed annual caps. 2. An independent financial adviser’s letter to the Independent Board Committee and the Independent Shareholders. 3. The Independent Board Committee’s recommendation. 4. The notice convening the forthcoming extraordinary general meeting.
The announcement was authorised by Chairman and Executive Director Yang Zhongjie and released on 8 May 2026.
As of the announcement date, the board comprises four executive directors—including Chairman Yang—and three independent non-executive directors.
