Yum China Holdings, Inc. (Yum China) has signed a definitive agreement with Yum! Brands to purchase full ownership of the Pizza Hut brand in Mainland China for USD 1.20 billion in cash. Completion is expected in 3Q 2026, after customary closing conditions are met. The deal shifts Pizza Hut China from an exclusive-license model to brand ownership, immediately ending license-fee payments to Yum! Brands and providing a projected boost to restaurant and operating profit margins upon closing.
Pizza Hut China generated USD 2.30 billion in segment revenue and USD 183.00 million in operating profit during 2025, and recorded its 13th consecutive quarter of same-store transaction growth in 1Q 2026. The chain operated 4,375 restaurants across more than 1,100 cities as of 31 March 2026. Yum China aims to expand the network to more than 6,000 units by 2028 and to double Pizza Hut’s operating profit by 2029 versus 2024.
The acquisition price equates to a last-twelve-month P/E multiple of 19.5×, representing a 17 % discount to the 23.5× median LTM P/E of a selected peer group that includes global and China-based restaurant companies. Financing will combine cash and new debt, with management affirming previously announced capital returns of USD 1.50 billion in 2026 and roughly 100 % of annual free cash flow to shareholders from 2027 onward.
Yum China forecasts the transaction to be immediately accretive to diluted EPS following closing, with mid-single-digit EPS accretion expected in 2027 and 2028. On a like-for-like basis, the company’s 2026 full-year guidance remains unchanged.
Separately, Yum China and Yum! Brands reaffirmed their partnership on the KFC brand. KFC China, currently at 13,454 stores, is targeting more than 17,000 outlets by 2028 and may receive a decade-long financial incentive from Yum! Brands tied to system-sales growth.
