CaoCao trims free-float with HK$0.98 million buyback; issues 18,144 new shares on option exercise

CaoCao INC. (Hong Kong-listed) disclosed a dual capital movement on 22 July 2026: an on-market share repurchase and a small option-driven share issue.

Share repurchase • The company bought back 69,600 ordinary shares on the Stock Exchange at prices between HK$14.09 and HK$14.18, spending HK$0.98 million in total. • All repurchased shares were retained as treasury stock; none have been cancelled. • Since the current mandate was approved on 08 June 2026, CaoCao has repurchased 4.10 million shares, using 0.70 % of the 58.30 million-share limit. • A 30-day moratorium on new share issues or treasury-share sales runs until 21 August 2026 under Listing Rule 10.06(3).

Option exercise • Separately, 18,144 new shares were issued upon exercise of employee options granted under the November 2022 Pre-IPO Share Incentive Plan at an exercise price of RMB 1.692 per share. • The participant involved is not a director of the company.

Updated share capital snapshot • Issued shares (excluding treasury): fell by 51,456 to 581.26 million. • Treasury shares: rose by 69,600 to 4.76 million. • Total issued shares (including treasury): edged up to 586.02 million.

All actions were duly authorised by the board and carried out in compliance with Hong Kong Listing Rules, according to the company’s filing signed by Joint Company Secretary Junxian Liu.
