Bingo Group issues composite document on unconditional mandatory cash offer led by Mr. Chiau Sing Chi

Bingo Group Holdings Limited announced on 7 July 2026 that the composite document for the unconditional mandatory cash offers has been published. Sinolink is acting on behalf of Mr. Chiau Sing Chi to acquire all issued shares of Bingo Group not already held by Mr. Chiau or parties acting in concert with him, as well as to cancel all outstanding share options.

The bilingual composite document can now be accessed in full on the company website (www.bingogroup.com.hk → “Shareholder Services”) and on the Hong Kong Stock Exchange website (www.hkexnews.hk). Registered shareholders who previously elected to receive printed communications have been sent hard copies with the notification letter.

Shareholders may change their preferred method of receiving future corporate communications or request a printed copy of the current composite document at any time by completing and returning the reply form to Tricor Investor Services Limited, the company’s Hong Kong branch share registrar, or by emailing 8220-ecom@vistra.com. Telephone enquiries can be directed to +852 2980 1333 during business hours.

The board has designated Executive Director Mr. Lau Man Kit to sign off on the notification, confirming compliance with disclosure obligations under the Hong Kong Listing Rules and the Takeovers Code.
