Second-largest shareholder of Green Tea Group exits completely, Xu Ruijie steps down from board

Hong Kong-listed restaurant company Green Tea Group (06831.HK) announced on Monday (September 21) that Ms. Xu Ruijie has resigned as a non-executive director due to work arrangements, with effect from September 21, 2026. The board recently received notice from shareholder Partners Group Gourmet House Limited (Partners Gourmet) that it had sold all of its shares in the company through an over-the-counter transaction. Following the completion of this sale, Partners Gourmet no longer holds any shares in the company.

A review of the 2025 annual report issued by Green Tea Group on April 27 shows that as of the end of 2025, Partners Gourmet still held a 15.76% stake, making it the second-largest shareholder. Ms. Xu confirmed that she has no disagreement with the board and that there are no matters related to her resignation that need to be brought to the attention of the company's shareholders or the Stock Exchange of Hong Kong Limited. The board took the opportunity to express its gratitude to Ms. Xu for her contributions during her tenure.

Green Tea Group (06831.HK) was listed on the Hong Kong Stock Exchange on May 16, 2025, raising HK$1.211 billion at an issue price of HK$7.19 per share. As of Monday's (September 21) market close, its shares stood at HK$4.92, down 31.57% from the IPO price, with a current market capitalization of approximately HK$3.24 billion.
