CEB Water to Seek Shareholder Approval on FY25 Dividend, Share Issuance Mandates and Bye-law Overhaul at 22 Apr 2026 AGM

China Everbright Water Limited (CEB Water) will convene its Annual General Meeting on 22 April 2026 at 9:30 a.m. (Singapore time) at PARKROYAL on Beach Road, Singapore. Key matters to be tabled for shareholder approval are summarised below.

Dividend • A final one-tier tax-exempt dividend of 4.22 Hong Kong cents (0.69 Singapore cents) per share for the year ended 31 December 2025 is recommended by the board.

Board Remuneration • Directors’ fees of S$0.35 million for FY25 are proposed, down 2.32% from the S$0.36 million paid for FY24.

Board Composition and Auditors • Re-election of CEO Mr. Xiong Jianping and Independent Non-Executive Director Mr. Ng Joo Hee Peter. • Re-appointment of KPMG LLP (Singapore) and KPMG (Hong Kong) as auditors, with the board authorised to fix remuneration.

Capital Authorities • General mandate to issue new shares and instruments convertible into shares up to 50% of issued share capital, with a 20% cap for non-pro-rata issues. • Continuation of the Scrip Dividend Scheme, enabling shareholders to receive shares in lieu of cash dividends. • Renewal of the share buy-back mandate allowing purchases of up to 10% of issued shares, at prices not exceeding 5% above the five-day average closing price.

Interested Person Transactions • Renewal of the mandate permitting transactions with specified interested persons, in line with Chapter 9 of the SGX Listing Manual.

Bye-law Revision • Adoption of a fully revised set of Bye-laws consolidating proposed amendments.

Logistics • The meeting will be conducted solely in physical format; no electronic participation will be available. Proxy forms must reach the company’s Singapore or Hong Kong share registrars at least 72 hours before the meeting.

As of the announcement date, the board comprises one Non-Executive Director (Chairman Mr. Luan Zusheng), one Executive Director (CEO Mr. Xiong Jianping) and four Independent Non-Executive Directors (Ms. Hao Gang, Mr. Ng Joo Hee Peter, Mr. Soh Kok Leong and Ms. Chan Pui Shan Sandy).
