On 11 September 2026, Yum China Holdings, Inc. released a Next Day Disclosure Return detailing its latest share repurchase activity on both the Hong Kong Stock Exchange (HKEX) and the New York Stock Exchange (NYSE).

Key developments:

1. Fresh Cancellation • 77,490 ordinary shares bought on 9 September (U.S. time) at an average price of USD 42.59 were cancelled on 10 September. • The company’s issued share capital consequently fell to 341.37 million shares from 341.44 million, a 0.02% reduction.

2. Repurchases on 10 September (Pending Cancellation) • HKEX: 23,700 shares repurchased at prices between HKD 330.20 and HKD 332.40, for a total outlay of HKD 7.85 million. • NYSE: 77,904 shares repurchased at prices between USD 42.25 and USD 42.77, costing USD 3.30 million.

3. Shares Awaiting Cancellation • Including the 10 September trades and a series of 49 earlier Hong Kong transactions executed between 2 July and 9 September, a total of 1.20 million shares (about 0.35% of current issued shares) are repurchased but not yet cancelled.

4. Progress on 2026 Repurchase Mandate • Since receiving shareholder approval on 28 May 2026 to buy back up to 34.66 million shares, Yum China has repurchased 6.70 million shares, representing 1.93% of the share count on the mandate date.

Operational notes: • U.S. repurchases were executed by an independent broker under a Rule 10b5-1 trading plan. • Hong Kong transactions were conducted via an automatic share repurchase agreement with an independent broker’s affiliate.

The company’s ongoing buybacks continue to reduce its share base and signal active utilisation of the current mandate, with further cancellations expected once the remaining 1.20 million repurchased shares are formally retired.
