Kin Shing Holdings: Shareholders Unanimously Approve All Proposals at 2026 AGM

Kin Shing Holdings Limited reported that every one of the six ordinary resolutions tabled at its Annual General Meeting (AGM) on 14 August 2026 secured 100% approval in a poll vote.

• Voting participation and support A total of 1.13 billion shares—equal to 75.05% of the issued share capital of 1.50 billion shares—were voted. All ballots were cast in favour of management’s recommendations, with zero votes against any resolution. Tricor Investor Services Limited acted as scrutineer.

• Key resolutions passed 1) Adoption of the audited consolidated financial statements for the year ended 31 March 2026, together with directors’ and auditors’ reports. 2) Re-election of nine directors, comprising five executive directors (Leung Chi Kit, Tso Yuk Ching, Chow Dik Cheung, Chan Sik Mau and Eric Todd) and three independent non-executive directors (Wong Yuk Lun, Alan; Lam Wai Hung; and Lam Kai Yeung). The board is also authorised to fix directors’ remuneration. 3) Re-appointment of HLB Hodgson Impey Cheng Limited as external auditor, with the board authorised to determine its fee. 4) Granting of a general mandate allowing directors to issue new shares up to 20% of the company’s existing issued share capital. 5) Authorisation to repurchase shares representing up to 10% of the issued share capital. 6) Extension of the share issue mandate by the amount of shares repurchased under the buy-back mandate.

• Director attendance Executive directors Leung Chi Kit, Chow Dik Cheung, Chan Sik Mau and Eric Todd attended the AGM in person. Executive director Tso Yuk Ching and the three independent non-executive directors participated via telephone conference.

With all resolutions passed, Kin Shing Holdings retains its existing board composition, secures continued auditor engagement, and gains flexibility for equity issuance and share repurchases ahead of the next shareholders’ meeting.
