Innovent Biologics announced that its board on 1 September 2026 approved the issuance of 59,757 share options and 583,731 restricted shares (RSs) to 72 eligible participants under the 2024 Share Scheme.
The option awards were allocated to nine grantees—eight non-connected employees and one non-executive director, Mr Ronald Hao Xi Ede. A total of 57,920 options went to employees, while Mr Ede received 1,837 options. Each option carries an exercise price of HK$105.76, the highest of (i) the 1 September closing price of HK$101.60, (ii) the five-day average closing price of HK$105.76, and (iii) the nominal share value. Options may be exercised within 10 years. Vesting for employees is scheduled at 75 % on 1 September 2029 and 25 % on 1 September 2030, subject to individual performance conditions; Mr Ede’s options vest in three equal annual tranches from 2027 to 2029 without performance hurdles.
The RS programme covers 63 grantees—62 non-connected employees plus Mr Ede. Employees received 578,525 RSs; Mr Ede was granted 5,206 RSs. Based on the grant-date share price of HK$101.60, the total market value of the RSs is approximately HK$59.31 million. Vesting mirrors the option schedule: 75 % on 1 September 2029 and 25 % on 1 September 2030 for employees, while Mr Ede’s RSs vest in three equal annual instalments from 2027 to 2029.
Both options and RSs awarded to employees are subject to individual annual performance targets tied to functional benchmarks in research and development, CMC, commercialisation, and support roles. Grants include a claw-back provision allowing forfeiture or repayment if a grantee is terminated for cause, breached company policies, or if awards are deemed misaligned with scheme objectives.
The board, with all independent non-executive directors concurring and Mr Ede abstaining on his own awards, approved the issuances. The grants to Mr Ede remain below the 0.1 % threshold of issued shares over any 12-month period, eliminating the need for separate shareholder approval.
Following this grant, 130.78 million shares remain available under the 2024 Share Scheme’s overall mandate limit of 162.84 million shares, and 32.57 million shares remain under the service-provider sub-limit.
Innovent Biologics stated that the awards aim to strengthen alignment between employees, management, and shareholders, enhance long-term value creation, and support retention of key talent.
