E&P GLOBAL Sets 19 Aug 2026 AGM; Directors’ Re-election, 20% Share Issue Mandate and 10% Buy-back Authority on Agenda

E&P Global Holdings Limited will convene its Annual General Meeting (AGM) on 19 August 2026 at 10:00 a.m. in Conference Room R3, United Conference Centre, United Centre, Admiralty, Hong Kong.

Key proposals: 1. Financial Statements: Shareholders will be asked to receive and adopt the audited consolidated financial statements and the reports of the directors and auditor for the financial year ended 31 March 2026.

2. Board Composition: • Re-election of Executive Director Mr Im Jonghak. • Re-election of Independent Non-Executive Director Ms Chen Dai. • Authorisation for the board to determine directors’ remuneration.

3. Auditor: Prism Hong Kong Limited is nominated for re-appointment; directors will be authorised to set its remuneration.

4. Issuance Mandate: Management seeks a general mandate to allot and issue up to 20% of the company’s issued share capital, with authority to grant options, warrants or convertible securities during the mandate period.

5. Share Repurchase Mandate: The board requests approval to repurchase up to 10% of the company’s issued shares on the Hong Kong Stock Exchange or other recognised exchanges.

6. Mandate Extension: Conditional on the above mandates passing, the share issuance limit may be increased by the volume of shares actually repurchased, capped at an additional 10% of issued capital.

Logistics: • Shareholders must lodge transfer documents by 4:30 p.m. on 13 August 2026 to qualify for attendance and voting rights. • Proxy forms must be submitted by 10:00 a.m. on 17 August 2026. • All AGM resolutions will be decided by poll.

Weather Contingency: If Typhoon Signal No. 8 or above or a Black Rainstorm Warning is in force between 8:00 a.m. and 5:00 p.m. on 19 August 2026, the meeting will be postponed; further details will be announced on the company’s and HKEX’s websites.

E&P Global Holdings’ board is chaired by Mr Liu Wai Shing Peter and currently comprises three executive directors and three independent non-executive directors.
