As the existing agreement is set to expire on April 23, 2026, the company's board of directors convened on March 26, 2026, and approved a proposal to continue the business cooperation arrangement with Bank of Chengdu. This transaction is classified as a connected transaction under the listing rules of the Shanghai Stock Exchange.
Subject to compliance with relevant laws, regulations, and financial supervision approvals, Xinhua Winshare may opt to utilize a range of wealth management and fund management services provided by Bank of Chengdu. These services include institutional wealth management products, large-denomination certificates of deposit, structured deposits, and cash management systems.
The cooperation is based on the operational needs of the group, with transaction terms and pricing deemed fair and reasonable. The arrangement aligns with the overall interests of the company and its shareholders, will not affect the company's independence, and is not expected to have a material impact on the group's normal operations. The group confirmed that it does not hold significant liabilities while simultaneously purchasing substantial wealth management products.
