The board of Mediwelcome Healthcare Management & Technology Inc. has called its annual general meeting for 4:30 p.m. on 30 June 2026 at Area C, 3rd Floor, Building B2, Digital Technology Park, Nanshan District, Shenzhen. Shareholders will vote by poll on a series of ordinary and special resolutions.
Key agenda items include:
• Financial reporting: shareholders will be asked to receive the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.
• Board composition: the meeting will consider the re-election of Ms. Deng Chengying as an executive director and Messrs. Song Ruilin, David Zheng Wang and Chen Huilin as independent non-executive directors, with the board empowered to set their remuneration.
• Auditor: Rongcheng (Hong Kong) CPA Limited is nominated for re-appointment, with fees to be determined by the board.
• Share capital mandates: – An issuance mandate authorising directors to allot, issue or otherwise deal with shares, or resell treasury shares if permitted, up to 20 % of the company’s issued share capital (excluding treasury shares). – A repurchase mandate allowing buy-backs of up to 10 % of issued shares (excluding treasury shares). – An extension mandate that increases the 20 % issuance limit by the number of shares repurchased under the 10 % mandate.
• Governance documentation: a special resolution seeks approval to adopt the third amended and restated memorandum and articles of association, replacing the current version immediately after the meeting.
The register of members will be closed from 25 June 2026 to 30 June 2026, inclusive. To qualify for attendance and voting, share transfers must be lodged with Computershare Hong Kong Investor Services Limited by 4:30 p.m. on 24 June 2026. Proxy forms must be deposited no later than 4:30 p.m. on 28 June 2026.
As of the notice date (5 June 2026), Mediwelcome’s board consists of Executive Directors Shi Wei (Chairman), Yang Weimin, Wang Liang and Deng Chengying; Non-Executive Director Liu Xia; and Independent Non-Executive Directors Song Ruilin, David Zheng Wang and Chen Huilin.
