Shenzhen Neptunus Interlong Bio-technique Company Limited (NEP INTERLONG) has issued its proxy form for the Annual General Meeting (AGM) to be held on 25 June 2026 at 10:00 a.m. in Shenzhen. Shareholders will vote on a series of ordinary and special resolutions that cover financial reporting, auditor re-appointment, director elections, remuneration and the abolition of the supervisory committee.
Key agenda items:
1. FY2025 Financial Statements and Reports • Approval of the audited consolidated financial statements for the year ended 31 December 2025. • Adoption of the Board of Directors’ report, the supervisory committee’s report and the auditors’ report for the same period. • Ratification of the Company’s annual budget and final accounts.
2. Auditor Re-appointment • Proposal to re-appoint Grant Thornton Hong Kong Limited as external auditor until the next AGM, with the Board authorised to determine its remuneration.
3. Board Composition Changes (three-year terms effective 25 June 2026) • Executive Directors: Zhang Feng, Huang Jian Bo and Zhang Xiao Guang are up for re-election. • Non-executive Directors: Zhang Yi Fei and Jin Rui are slated for re-election, while Zhang Xiao Peng is nominated for initial appointment. • Independent Non-executive Directors: Yick Wing Fat (Simon) and Poon Ka Yeung, each having served over nine years, are nominated for re-election; Zhu Jia Min is proposed for first-time appointment.
4. Director Remuneration • Shareholders will consider and approve remuneration packages for the new Board session, details of which are provided in the accompanying circular dated 4 June 2026.
5. Special Resolution • Proposal to cancel the supervisory committee and amend the Articles of Association and related procedural rules accordingly.
Shareholders of both H shares and domestic shares may appoint proxies to vote on their behalf. Completed proxy forms must reach Tricor Investor Services Limited (for H shareholders) or the Company’s registered office in Shenzhen (for domestic shareholders) no later than 10:00 a.m. on 24 June 2026. Attendance in person at the AGM will supersede any previously submitted proxy instructions.
