CMBC Capital Executes HKD 2.30 Million Share Buyback; 1.88 Million Shares Pending Cancellation

CMBC Capital Holdings Limited disclosed that it repurchased a total of 1.88 million ordinary shares across 27–28 July 2026, all earmarked for cancellation.

Key details • Outstanding shares unchanged at 1.10 billion as of 28 July 2026; repurchased shares have not yet been cancelled. • 27 July 2026: 1.00 million shares bought at an average HKD 1.1617 per share (≈HKD 1.16 million). • 28 July 2026: 0.88 million shares bought on the Exchange within a price range of HKD 1.12–1.39, averaging HKD 1.2845; aggregate consideration HKD 1.13 million. • Cumulative outlay for the two-day programme: approximately HKD 2.30 million, translating to an average repurchase price of HKD 1.22 per share.

Mandate utilisation • The current general mandate, approved on 26 June 2026, permits the company to buy back up to 109.70 million shares. • With 1.88 million shares repurchased to date, 1.71 % of the authorised limit has been utilised.

Post-buyback implications • Following customary settlement and cancellation, the issued share capital would decline to roughly 1.095 billion shares, subject to no additional changes. • In accordance with Hong Kong listing rules, CMBC Capital is restricted from issuing new shares until 27 August 2026.

The company affirmed that all repurchases complied with the Exchange’s Main Board rules and that no material changes have been made to the explanatory statement filed on 3 June 2026.
