CoreWeave, Inc. is back in the market for fresh capital, underscoring the relentless thirst for cash that defines today's AI computing arms race.
The AI cloud services provider announced on Thursday its intention to issue $3 billion in senior convertible notes alongside an at-the-market (ATM) offering program that could see up to 35 million shares sold over time.
Per sources familiar with the matter, the notes are being marketed with a coupon in the range of 2.375% to 2.875%, with pricing expected later on Thursday evening. The news weighed heavily on the stock, which fell more than 5% in intraday trading.
Breaking Down The Deal: Notes Plus A Flexible Share Program
According to the company's announcement, the convertible notes mature in 2033 and the proceeds will be directed toward general corporate purposes, with a portion set aside to fund related derivative transactions tied to the offering.
The deal also includes a $500 million overallotment option, which could push the total raise to $3.5 billion if fully exercised. In tandem, CoreWeave, Inc. launched an ATM program allowing it to sell up to 35 million shares from time to time, a move management says will provide financing flexibility and improve its credit profile.
Morgan Stanley, Goldman Sachs, JPMorgan, and Wells Fargo are acting as underwriters for the convertible notes sale, according to insiders.
AI Funding Frenzy Drives US Convertibles To Record Heights
This latest raise fits into a broader wave of intense capital activity sweeping the AI infrastructure landscape.
Bloomberg data shows that companies have collectively borrowed roughly $419 billion in global debt markets this year alone for AI-related ventures. That surge in borrowing has begun to push some funding costs higher as demand cools slightly, with some investors showing early signs of hesitation in deploying fresh capital.
Back in July, CoreWeave, Inc. had to widen pricing on a $2.6 billion leveraged loan to attract investor interest. Even so, the AI-fueled enthusiasm has catapulted the US convertible bond market to unprecedented levels, with American issuers raising a record $137.3 billion year-to-date.
