Scholar Edu acquires 1.00 million shares on-market for incentive scheme

On 20 July 2026, Scholar Education Group (Scholar Edu) disclosed that the trustee of its share award scheme purchased 1.00 million ordinary shares on the open market to be held in trust for future grants to selected participants.

The key parameters of the transaction are as follows:

• Purchase volume: 1.00 million shares, representing approximately 0.148 % of the company’s issued share capital.

• Average purchase price: about HK$1.00 per share.

• Total consideration (excluding transaction costs): roughly HK$1.00 million.

Following the transaction, the trustee holds 42.70 million shares, equivalent to 6.34 % of Scholar Edu’s total outstanding shares.

Management reiterated its view that the current market price materially undervalues the company’s fundamentals, creating an attractive window to accumulate shares for future awards. The board stated it will continue to monitor market conditions and may instruct further purchases under the scheme when deemed appropriate. It will also determine the quantity and vesting conditions of any subsequent share grants at its discretion.
