MTT Group (02350) has announced that its wholly-owned subsidiary, Digital AI Holdings Limited, will acquire the entire equity interest of Qingzhan International Artificial Intelligence Co., Ltd. for an initial consideration of HK$20 million, which is subject to adjustment. The acquisition, dated August 28, 2026, will be settled through the issuance of 30,534,350 consideration shares at a price of HK$0.655 per share.
The target group primarily operates an AI-focused education business and delivers AI solutions spanning data processing, AI agent development, and hardware development. Its operations are structured around five core business segments: (i) AI talent cultivation services, which include AI-focused leadership courses and engineering certifications, as well as the Tsinghua-UNESCO AI Training Camp and education experimental centers designed for entrepreneurs and university students; (ii) AI agent development, encompassing industrial AI training agents, AI executive decision-making tools capable of intelligent analysis and comprehensive visualization of corporate operational data to provide actionable insights in real time, and intelligent office solutions enabling enterprises to independently build, operate, and manage their own AI agents, including long-term complex task execution supported by built-in memory mechanisms and team collaboration capabilities; (iii) computing power sales, involving high-performance GPU computing clusters for constructing and training AI models, rendering and inference computing power for AI-generated content, and computing power leasing typically bundled with supporting technical consulting services; (iv) data services, including embodied AI data collection solutions and end-to-end data processing and annotation for AI applications and robots, such as processing 3D point cloud data required for Level 3 autonomous driving systems, wearable data collection solutions for leading robotics companies, and automated quality report analysis in the industrial manufacturing sector; and (v) hardware development, covering AI chips, embodied AI and robotics, as well as training hardware equipment.
The directors believe this acquisition represents a strategic move for the group to expand its existing IT solutions and infrastructure business into the rapidly growing AI industry. The transaction will enable the group to establish a more comprehensive and integrated solutions platform encompassing AI infrastructure, computing power, data processing, AI applications, and end-user deployment, thereby capitalizing on opportunities arising from the demand for intelligent transformation and AI-empowered operational solutions.
By combining the group's expertise in IT product procurement, infrastructure deployment, system integration, and enterprise implementation with the target group's network, technical knowledge, and infrastructure, the group anticipates deepening its business footprint in the AI sector. The directors are confident that this acquisition will accelerate the commercialization and market adoption of the target group's AI technologies, strengthen the group's competitive position in the IT infrastructure and AI solutions markets, enhance long-term growth prospects, and diversify revenue streams, ultimately improving overall business performance.
Accordingly, the directors consider the acquisition to be aligned with the group's business development strategy and in the best interests of the company and its shareholders.
