Cocoon Holdings Schedules 15 June 2026 AGM with Proposals on 2025 Results, Director Re-elections and Capital Mandates

The board of Cocoon Holdings has issued the proxy form for its annual general meeting, confirming that shareholders will convene on 15 June 2026 at 11:30 a.m. in Hong Kong.

Key agenda items are as follows:

1. 2025 Financial Statements • Shareholders will vote on the adoption of the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ report and the independent auditor’s report.

2. Board Composition and Remuneration • Independent non-executive director Ms. Leung Yin Ting and executive director Mr. Chau Wai Hing are standing for re-election. • The board seeks authority to determine directors’ remuneration for the 2026 financial year.

3. Audit Arrangements • McMillan Woods (Hong Kong) CPA Limited is nominated for re-appointment as independent auditor, with the board to fix its remuneration.

4. Capital Management Mandates • General mandate to repurchase shares. • General mandate to allot and issue new shares. • Extension of the issuance mandate by adding the number of shares repurchased to the limit for new allotments.

Shareholders who wish to vote by proxy must submit completed forms to the company’s Hong Kong branch share registrar, Computershare Hong Kong Investor Services Limited, at least 48 hours before the meeting. Attendance in person remains an option, and each shareholder is entitled to appoint one or more proxies who need not be members of the company.
