Link Holdings Limited announced the resignation of independent non-executive director (INED) Ho Sing Wai, effective 28 May 2026. Ho has also stepped down from the Audit and Remuneration Committees, citing work-related reasons. He confirmed no disagreement with the board and no matters requiring shareholder attention. The board expressed its appreciation for his service.
Ho’s departure leaves the company with only two INEDs, causing three immediate breaches of GEM Listing Rules: 1. Fewer than three INEDs on the board (Rule 5.05(1)). 2. INEDs now represent less than one-third of the board (Rule 5.05A). 3. The Audit Committee membership falls below the required minimum of three (Rule 5.28). Concurrently, the Remuneration Committee also drops below its minimum member requirement under its terms of reference.
The company intends to appoint a suitable replacement within three months from 28 May 2026 to restore compliance and will issue further announcements as needed.
Consequent to Ho’s resignation, the ordinary resolution 2(I)(c) concerning his re-election as an INED—originally slated for the 29 May 2026 annual general meeting (AGM) at 11:00 a.m.—has been withdrawn. All other AGM resolutions remain unchanged; any proxy forms already lodged will stay valid, although no poll will be taken for the withdrawn resolution.
