Zhihu Executes Additional Buyback of 97,146 Class A Shares; Cumulative 5.79 Million Shares Repurchased Since Mandate

Hong Kong/Beijing, 22 September 2026 – Zhihu Inc. (dual-listed on HKEX: 2390; NYSE: ZH) disclosed in its latest Next Day Disclosure Return that it repurchased 97,146 Class A ordinary shares on 21 September 2026 via the New York Stock Exchange. The shares—equivalent to 32,382 American depositary shares (ADSs), each representing three Class A shares—were bought at prices ranging from USD 1.0433 to USD 1.10, for a total consideration of USD 0.10 million.

The company’s issued share capital remains unchanged at 244.79 million Class A ordinary shares and 14.86 million Class B ordinary shares, or 259.65 million shares in aggregate. All repurchased shares are designated for cancellation and therefore currently remain in the issued share count until formal cancellation.

Since the current 10% share-repurchase mandate was approved on 30 June 2026, Zhihu has acquired 5.79 million Class A shares, representing 2.27% of the shares outstanding on the mandate date. The mandate authorises buybacks of up to 25.46 million shares, leaving approximately 19.67 million shares (7.73% of the initial headroom) still available for repurchase.

Under Hong Kong Listing Rule 10.06(3)(a), Zhihu is subject to a 30-day moratorium on issuing new shares or disposing of treasury shares, effective until 21 October 2026. All repurchases were carried out in accordance with both Hong Kong Stock Exchange requirements and the relevant rules of the New York Stock Exchange.
