MECOM clinches HK$163.00 million credit package from Tai Fung Bank; covenants link loans to tenure of key executives

Hong Kong – MECOM Power and Construction Limited (MECOM) has entered into a facility agreement dated 9 July 2026 under which Tai Fung Bank Limited will provide its indirect Macau-based subsidiaries, EHY Construction and Engineering Company Limited (EHY) and Sun Hung Yip Engineering Construction Company Limited (SHY), with combined banking facilities of up to HK$163.00 million.

The package comprises: • A HK$43.00 million revolving loan for EHY. • A HK$10.00 million overdraft line for EHY. • A HK$110.00 million revolving commitment for the issuance of bank guarantees to EHY and SHY.

The facilities are available until 11 July 2027. MECOM acts as guarantor.

Key covenant and default trigger The agreement specifies that an event of default occurs if Chairman Mr. Kuok Lam Sek or Chief Executive Officer Mr. Sou Kun Tou ceases to serve as key management of MECOM. Upon such an event, Tai Fung Bank may cancel all or part of the commitments and require immediate repayment of outstanding amounts, including accrued interest, or declare the facilities payable on demand.

Regulatory disclosure The announcement was made pursuant to Rule 13.18 of the Hong Kong Stock Exchange Listing Rules. MECOM will continue to disclose the status of these covenants in its interim and annual reports as long as the obligation under Rule 13.18 remains in effect.

Ownership snapshot As of the announcement date, Mr. Kuok and Mr. Sou each hold ultimate interests in 2.04 billion shares of MECOM, representing 51.27% of the company’s issued share capital, qualifying both as controlling shareholders.
