COSCO SHIPPING Ports appoints Gu Jinshan as non-executive director and updates committee composition

COSCO SHIPPING Ports Limited announced the appointment of Gu Jinshan as a non-executive director, effective 29 April 2026. Gu, aged 64, currently serves as President of China Ports & Harbours Association and brings extensive leadership experience from Shanghai-based governmental and port entities, including former roles as chairman of Shanghai International Port (Group) Co., Ltd. and non-executive director of Orient Overseas (International) Limited.

Under the initial letter of appointment, Gu’s term will run from 29 April 2026 to the conclusion of the May 2026 annual general meeting (AGM). Subject to re-election at that AGM, a new three-year term will extend to the 2029 AGM. The annual director’s fee is set at HK$190,000, pro-rated for any partial year, and was recommended by the Remuneration Committee and approved by the Board.

As of the announcement date, Gu holds no shares in COSCO SHIPPING Ports under Part XV of the Hong Kong Securities and Futures Ordinance and has confirmed no other matters require shareholder attention under Listing Rule 13.51(2).

Committee changes effective 29 April 2026 are as follows: 1. Gu Jinshan will join both the Nomination Committee and the Environmental, Social and Governance Committee. 2. Independent non-executive director Prof. Chan Ka Lok will become a member of the Nomination Committee.

The Board stated that no additional information needs to be brought to shareholders’ attention regarding these appointments.
