MiniMax Group (MINIMAX-W) issues HKD6.50 billion zero-coupon converts and places 35.60 million Class A shares in July

MiniMax Group Inc. (MINIMAX-W) submitted its monthly return for the period ended 31 July 2026, detailing substantial equity and debt capital activity.

Issued Share Expansion • Class A weighted-voting ordinary shares outstanding rose by 35.60 million to 268.13 million after a placing/subscription on 14 July at HKD 268 per share, adding roughly HKD 9.54 billion in gross proceeds and enlarging the Class A share base by 15.31% from the prior month. • Class B weighted-voting shares were unchanged at 81.10 million. • Combined issued share capital across both classes now totals 349.24 million shares, with no treasury shares held.

Convertible Bond Issuance • On 16 July the company completed a HKD 6.50 billion zero-coupon guaranteed convertible bond due 2027, approved at the 11 June 2026 general meeting. • The bonds carry a conversion price of HKD 335 per share and are convertible into up to 19.40 million Class A shares, representing 7.23% of the post-placement Class A share count.

Authorised Capital and Public Float • Authorised capital remains at 393.35 million Class A shares and 106.65 million Class B shares (both at USD 0.0001 par). • The company confirmed compliance with the 12% minimum public-float requirement.

Equity Incentive Capacity • The Post-IPO Share Incentive Plan holds 17.39 million Class A shares available for future grants; no options were exercised in July. An additional 1.17 million shares may be issued under other incentive arrangements.

At month-end, MiniMax maintains an expanded equity base alongside fresh convertible financing, positioning the company with increased capital flexibility ahead of its 2027 bond maturity.
