Zhihu Announces Further Buyback; Cumulative Repurchases Reach 3.58 Million Shares

Zhihu Inc. (ZHIHU-W) has disclosed the repurchase of an additional 105,000 Class A weighted-voting-rights (WVR) ordinary shares on 14 August 2026. The transaction, executed on the New York Stock Exchange, was completed at prices ranging from USD 1.0583 to USD 1.07 per share, for a total consideration of approximately USD 0.11 million.

Including this latest purchase, Zhihu has acquired 3.58 million shares since the current buyback mandate was approved on 30 June 2026, representing 1.41 % of the company’s issued share capital (excluding treasury shares) on that date. The mandate authorises repurchases of up to 25.46 million shares, leaving a remaining capacity of about 21.88 million shares.

All shares bought back under the programme are earmarked for cancellation; none will be held as treasury stock. As at 14 August 2026, issued share capital stands unchanged at 244.79 million Class A ordinary shares, alongside 14.86 million Class B ordinary shares, for a combined total of 259.65 million shares.

In line with Hong Kong Stock Exchange regulations, Zhihu is subject to a moratorium on issuing new shares or transferring treasury shares until 13 September 2026.
