Xuanzhu Biopharma to Seek Shareholder Nod on 2025 Reports, Profit Distribution and Board Mandates at 18 June 2026 AGM

Xuanzhu Biopharmaceutical Co., Ltd. (Xuanzhu Biopharma) has issued the proxy form and agenda for its annual general meeting scheduled for 10:30 a.m. on Thursday, 18 June 2026 at the Jing Tai Lan Meeting Room, Wanda Vista Beijing.

Key agenda items are split into ordinary and special resolutions:

1. Ordinary resolutions • Approval of the Board Report, Supervisory Committee Report, audited consolidated financial statements and full Annual Report for the year ended 31 December 2025. • Endorsement of the 2025 profit distribution plan. • Review of the independent non-executive directors’ 2025 work report. • Confirmation of the directors’ remuneration (allowance) plan. • Re-appointment of the external auditor for the 2026 financial year.

2. Special resolutions • Granting a general mandate to the Board to repurchase H shares. • Granting a general mandate to the Board to issue H shares. • Abolishment of the Supervisory Committee and corresponding amendments to the Articles of Association.

Shareholders may appoint the chairman of the meeting or other designated proxies to vote on their behalf. The completed proxy form, together with any power of attorney, must be lodged with Computershare Hong Kong Investor Services Limited to be valid for the meeting.
