Gpixel Issues 2025 AGM Proxy; Key Votes on Profit Distribution, Audit Firm Selection, and Share Issuance Mandates

Gpixel Changchun Microelectronics Inc. has distributed the proxy form for its 2025 Annual General Meeting, setting out six resolutions for shareholder approval.

The AGM is scheduled for 10:30 a.m. on Tuesday, 30 June 2026, at Buildings 5, Phase I Optoelectronic Information Industrial Park, No. 7691 Ziyou Road, Changchun Economic and Technological Development Zone, Jilin Province, China. Shareholders of both H Shares and Unlisted Shares can appoint proxies, with completed forms due no later than 10:30 a.m. on 29 June 2026.

Key ordinary resolutions: 1. Board Work Report for FY 2025. 2. 2025 Profit Distribution Plan. 3. Appointment of the financial audit firm for FY 2026. 4. Remuneration plan for directors for 2026.

Key special resolutions: 5. General mandate empowering the Board to issue new shares. 6. General mandate authorizing the Board to repurchase the Company’s H Shares.

Each resolution will be decided by poll, with options to vote For, Against, or Abstain. Joint shareholders may vote in person or by proxy, but the vote of the first‐named holder on the register prevails if multiple proxies are present. A valid proxy must be signed, and any amendments require initials from the signing party.

Completion and return of a proxy form do not preclude shareholders from attending and voting in person at the AGM, provided appropriate identity documents are presented.
