Keep Inc. (KEEP) disclosed that it bought back 100,000 ordinary shares on 10 July 2026 via on-market transactions on the Hong Kong Stock Exchange at prices ranging from HK$1.96 to HK$2.07 per share, for a total consideration of HK$0.20 million (volume-weighted average price: HK$2.0147).
Following the transaction: • Issued shares (excluding treasury shares) fell to 499.06 million from 499.16 million. • Treasury shares rose to 11.22 million, equivalent to 2.20 % of the 510.28 million total issued shares, which remained unchanged.
Repurchase mandate utilisation: • Shareholders authorised the company on 4 June 2026 to repurchase up to 50.24 million shares. • Cumulative repurchases under this mandate now total 3.36 million shares, or 0.67 % of the issued share count at mandate date, leaving capacity for a further 46.89 million shares.
Uncancelled repurchases: • As of 10 July 2026, 3.35 million shares (repurchased between 6 January and 15 April 2026) remain pending cancellation.
Moratorium: • In line with Hong Kong listing rules, KEEP is restricted from issuing new shares or selling/transferring treasury shares until 9 August 2026.
All repurchases were authorised by the board and conducted in compliance with the Hong Kong Main Board Listing Rules, and all necessary regulatory confirmations have been provided by the company.
