Scholar Education: Trustee Adds 0.46 Million Shares Under Share Award Scheme, Raising Holding to 4.14%

Bulletin Express06-15

Scholar Education Group announced that the trustee of its share award scheme bought 460,000 shares on-market on 15 June 2026. The key terms of the transaction are as follows:

• Purchase volume: 460,000 shares, representing approximately 0.07% of the company’s issued share capital. • Average purchase price: HK$1.08 per share. • Cash consideration: about HK$0.50 million, excluding transaction costs. • Post-purchase holding: the trustee now holds 27.90 million shares, equal to 4.14% of shares in issue.

Management stated that the current market price undervalues the company’s fundamentals and views the latest buyback as an opportunity to secure shares for future grants to participants in the share award scheme. The board will continue to monitor market conditions and determine further purchases and subsequent awards at its discretion.
