Wuhan Youji Holdings (2881) Proposes Change of Domicile and Adoption of New Articles

Wuhan Youji Holdings (2881) has issued a circular outlining plans to change its domicile from the Cayman Islands to Hong Kong and adopt a new set of articles of association. According to the circular, the proposed move is intended to streamline compliance procedures and capitalize on Hong Kong’s established legal framework.

The circular states that the change of domicile will not affect the Company’s underlying assets, business operations, or shareholdings. After the move, the Company’s shares will transition to a no-par value structure, and the existing share certificates will remain valid for trading and settlement. The board has also proposed adopting new articles of association in line with Hong Kong law, noting that all regulatory approvals will be sought in accordance with relevant legal requirements.

An Extraordinary General Meeting (EGM) is scheduled for 22 December 2025, at 3:00 p.m., to vote on the proposals. The meeting will be held at 4/F, No. 1, Chemical Second Road, Wuhan Chemical Industrial Park, Qingshan District, Wuhan, Hubei, China. Shareholders intending to vote by proxy are required to submit forms not less than 48 hours before the appointed time. The board of Wuhan Youji Holdings recommends that shareholders consider the proposals, emphasizing that the redomiciliation and new articles adoption align with the Company’s long-term interests. The circular clarifies that these steps will not alter the proportionate interests of any existing shareholders and that the listing status on the Hong Kong Stock Exchange will remain unaffected.
