X.J. Electrics (Hu Bei) Co., Ltd (Stock Code: 2619) released an announcement indicating plans to change its Chinese name from “湖北香江電器股份有限公司” to “湖北香江電器集團股份有限公司,” and its English name from “X.J. Electrics (Hu Bei) Co., Ltd” to “X.J. Electrics (Hu Bei) Group Co., Ltd.” According to the announcement, the new company name is designed to reflect its growing business scale, strategic direction, and ongoing overseas expansion.

In addition, the announcement outlines a proposal to abolish the board of supervisors, with functions previously undertaken by that board to be assumed by the company’s audit committee. The proposed abolition is in alignment with updated regulatory requirements and a move to further streamline corporate governance processes. Until formal approval at the upcoming 2025 Second Extraordinary General Meeting (EGM), the current supervisors will continue to fulfill their oversight responsibilities.

The proposed amendments to the articles of association are set to address references to the “Board of Supervisors” and “Supervisors,” updating these to reflect the intended shift to the audit committee as the primary oversight body. The announcement also notes that certain corporate governance policies, such as procedures for board meetings and shareholder meetings, are planned to be amended to remain consistent with the latest changes.

Shareholders will vote on the proposals at the 2025 Second EGM. A circular with more detailed information and the official meeting notice will be issued in accordance with relevant listing rules. Further announcements will be made when the proposed changes take effect.
