Fu Shou Yuan delays FY2025 results and annual report as forensic probe continues; trading stays suspended

Fu Shou Yuan International Group Limited announced a further postponement in publishing its FY2025 financial statements, annual report and sustainability report after uncovering “certain cash withdrawals or cash disbursements” and issues tied to procurement transactions and related payments.

The company confirmed that:

• FY2025 annual results, originally due on 31 March 2026 under Hong Kong Listing Rule 13.49(1), remain unfinished because the auditor cannot complete required procedures until an independent investigation is concluded. • The board has judged it inappropriate to release unaudited management accounts, citing potential inaccuracies while forensic work is incomplete. • As a direct consequence, dispatch of the FY2025 annual report and sustainability report—statutorily due by 30 April 2026—will also be delayed. • A board meeting slated for 31 March 2026 to approve the results has been postponed, with a new date to be announced.

Investigation status A forensic accountant and a special investigation committee are examining suspicious cash movements and procurement-related payments. The scope now includes additional “other suspicious transactions” whose nature, participants and financial impact remain undetermined pending completion of verification, information checks and confirmations.

Trading suspension Trading in Fu Shou Yuan shares has been suspended since 20 March 2026 and will continue until further notice. The company stated it is fully cooperating with auditors and investigators and will update shareholders on material developments, the revised results timetable and trading resumption plans.
